Crossfire Panel on Divisive Mergers (the "Texas Two-Step")

At this popular American Bankruptcy Institute conference, Malhar Pagay will take part in a panel to be conducted in the format of the TV show Crossfire. The program will address the issue of the divisive merger, a spinoff transaction in which a parent company creates an independent company and transfers to it a particular line of the parent’s business. Debtors with looming mass tort liability have taken reorganizational steps with the stated goal of isolating tort claims in a newly formed entity for the purpose of adjudicating and resolving those claims separately from the parent. At the conclusion of the discussion, attendees will have an opportunity to vote on how they believe the issue should be resolved.
